# Business partner? Register the firm.

> Not to enforce a contract. An unregistered firm, or a partner suing as a partner, cannot sue on a contract (Partnership Act s.69), and the Supreme Court says registering later does not save the suit (PLD 2016 SC 214).

## Myth or fact?

What partners often assume.

- **Myth: Our partnership deed on stamp paper is enough. Registration is just paperwork.**
- **Fact: An unregistered firm, or a partner in it, cannot sue to enforce a contract. The Supreme Court calls the bar complete (Partnership Act s.69; PLD 2016 SC 214).**

## The rule in the law.

Section 69, Partnership Act, 1932.

> "No suit to enforce a right arising from a contract shall be instituted in any Court by or on behalf of a firm against any third party unless the firm is registered and the persons suing are or have been shown in the Register of Firms as partners in the firm." (Partnership Act, 1932 · Section 69(2))

## Quick quiz. Register later?

Guess first, then swipe for the answer.

- **A. Yes, registration cures it**
- **B. No, later registration does not help**
- **C. Only if the customer agrees**

## Answer: B. Too late.

Supreme Court, PLD 2016 SC 214.

- **No cure** The Court endorsed the rule that registering the firm after filing is of no avail.
- **Plaint rejected** A suit barred by s.69 faces rejection under Order VII Rule 11 CPC.
- **Mandatory** A penal provision, read strictly, but mandatory in character.

## What still works.

Section 69(3) and the same judgment.

- **Dissolution** A partner can still sue to dissolve the firm.
- **Accounts** Or for accounts of a dissolved firm, or to realise its property.
- **Deals stand** The Act does not stop an unregistered firm making contracts or owning assets.

## Every partner pays.

Section 25. No company wall.

- **Joint and several** Every partner is liable, jointly with the others and also severally, for all acts of the firm while he is a partner (s.25).
- **Not a company** A firm is not a distinct legal entity (PLD 2016 SC 214).
- **Personal** Partners remain personally liable for the firm's debts (same case).

## Myth or fact?

The NTN mix-up.

- **Myth: We have an NTN and a chamber of commerce certificate. We are registered.**
- **Fact: Neither gives a business the legal personality to sue. Only a natural or juristic person can sue in its own name (PLD 2017 Isl. 115).**

## How to register.

Section 58. Three steps.

- **The statement** Firm name, places of business, partners' names, addresses, joining dates, duration.
- **Signed by all** Every partner signs and verifies it.
- **To the Registrar** Of the area where the firm does business, with the prescribed fee.

## Starting a business?

Ask FAI in your own words. It answers with the exact section and the judgments behind it.

- **My partner took the shop money. Our firm is not registered. Can I still sue him?**
- **Draft a partnership deed for a two-person shop in Lahore.**

## What this does not mean

- Section 69 does not stop an unregistered firm making contracts or owning assets. It bars suits to enforce contract rights.
- A partner can still sue to dissolve the firm, for accounts of a dissolved firm, or to realise its property (s.69(3)).
- An NTN or chamber of commerce certificate is not registration of the firm (PLD 2017 Isl. 115).
